Please read this agreement carefully. By accessing or using any application developed by Intuitive Intel, you agree to be bound by the terms of this End-User License Agreement ("Agreement"). If you do not agree to these terms, do not use the application.
Intuitive Intel grants you a limited, non-exclusive, non-transferable, revocable license to use the application solely for internal business purposes within your organization, subject to the terms of this Agreement and any separate service agreement between your organization and Intuitive Intel.

The application and all related materials, including but not limited to source code, design, documentation, and trademarks, are the exclusive property of Intuitive Intel or its licensors. This Agreement does not transfer any ownership rights to you. All rights not expressly granted herein are reserved.
The application may integrate with third-party services (such as QuickBooks Online, LMN, or cloud hosting providers). Your use of these third-party services is subject to their respective terms of service and privacy policies. Intuitive Intel is not responsible for the availability, accuracy, or practices of third-party services.
Your use of the application is also governed by our Privacy Policy. You are responsible for ensuring that your use of the application complies with applicable data protection laws and for obtaining any necessary consents related to data processed through the application.
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INTUITIVE INTEL DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTUITIVE INTEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION, EVEN IF INTUITIVE INTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL INTUITIVE INTEL'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOUR ORGANIZATION FOR THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Intuitive Intel and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the application or violation of this Agreement.
This license is effective until terminated. Intuitive Intel may terminate this Agreement at any time if you breach any of its terms. Upon termination, you must cease all use of the application and destroy any copies in your possession. Termination does not limit any of Intuitive Intel's other rights or remedies.
Intuitive Intel may update, modify, or discontinue the application at any time without prior notice. We may also update this Agreement from time to time. Continued use of the application after any changes constitutes acceptance of the revised terms.
This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of competent jurisdiction.
This Agreement, together with any separate service agreement between your organization and Intuitive Intel, constitutes the entire agreement regarding your use of the application and supersedes any prior agreements or understandings.
